Version 1.0 · Published Nov 7, 2026 19:01 UTC

Last Updated: November 7, 2026 These Terms & Conditions (“Terms”) govern access to and use of websites, software, products, and services provided by Liveli LLC, doing business as LocalWerx (“LocalWerx,” “we,” “us,” or “our”). Our services include LocalWerx Marketing Operating System (“MOS”), TextLead by LocalWerx (“TextLead”), and other products and services offered by LocalWerx. By creating an account, accepting these Terms during enrollment, purchasing a service, or using a service where these Terms apply, you agree to these Terms and our Privacy Policy. If you accept on behalf of a business or organization, you represent that you have authority to bind that entity. 1. LocalWerx Services LocalWerx provides software and related business services, including marketing management, website services, customer interactions, and contact-request management. Features, pricing, availability, and service limitations depend on the product and subscription purchased. MOS and TextLead are separate applications. A TextLead subscription does not include MOS, and a MOS subscription does not automatically include TextLead, unless expressly stated in a separate written offer. Both services are operated by Liveli LLC, doing business as LocalWerx. TextLead is a product name, not a separate legal entity. 2. Accounts and Authorized Use You agree to provide accurate account and business information and keep it reasonably current. You are responsible for: Maintaining the confidentiality of account credentials Restricting access to authorized users Activities conducted through your account Using the services for lawful business purposes Obtaining necessary permissions and consents for information submitted or processed Complying with applicable privacy, consumer protection, telecommunications, and marketing laws You must notify LocalWerx promptly if you suspect unauthorized access or misuse. We may restrict access where reasonably necessary to address security threats, unlawful activity, or violations of these Terms. 3. Subscriptions, Pricing, and Automatic Renewal Certain services require a paid subscription. The applicable price, billing frequency, included features, and usage allowances are presented during enrollment or purchase. Unless otherwise expressly stated, subscriptions automatically renew at the applicable recurring price until canceled. For TextLead, customers may select an available monthly or annual subscription. Monthly lead-usage cycles apply regardless of whether the subscription is billed monthly or annually. Stripe processes TextLead subscription payments. Applicable taxes, if any, may be added where required by law. We do not impose a separate TextLead payment-retry schedule or additional recovery fee. Failed-payment processing and retries are handled through the configured payment provider. If payment fails or a subscription becomes inactive, service access or features may be restricted according to the applicable subscription status. We will not impose unadvertised overage charges for exceeding a TextLead lead allowance. Any separately offered promotion, discount, trial, or complimentary service is subject to its expressly disclosed terms. No trial or promotional entitlement is created merely by these Terms. 4. TextLead Service TextLead is a standalone website contact-request management application. A participating business may install or use a TextLead-enabled form or widget to receive inquiries submitted by its website visitors. TextLead allows authorized business users to access their contact-request history and available usage information through the TextLead application. The participating business is responsible for responding directly to its website visitors. TextLead does not guarantee that any contact request will result in a sale, appointment, qualified lead, or other business outcome. TextLead does not automatically send SMS messages to website visitors as part of its standard contact-request workflow. 5. Website Visitor Contact Requests A visitor submitting a TextLead form is requesting a response from the participating business concerning that inquiry. A contact request does not, by itself, authorize recurring promotional text messages, automated marketing campaigns, or unrelated marketing communications. Participating businesses are responsible for obtaining any additional consent required before using contact-request information for other purposes. Businesses must provide appropriate website notices and privacy disclosures and must not use TextLead to collect information unlawfully. LocalWerx may restrict or terminate access where TextLead is used for unsolicited messaging, deceptive practices, or other prohibited activity. 6. TextLead Plans and Lead Allowances TextLead plans identify an advertised number of website contact requests available during each monthly usage cycle. Available plans may include: TextLead 50: 50 advertised leads per monthly usage cycle TextLead 100: 100 advertised leads per monthly usage cycle The applicable monthly or annual subscription price is displayed at checkout. TextLead may maintain a limited operational allowance above the advertised plan amount to support service operation. Any such additional capacity is complimentary, is not part of the purchased entitlement, has no cash value, and may be changed or discontinued. Unused monthly lead allowances do not roll over. Monthly usage cycles apply to annual subscriptions as well as monthly subscriptions. An annual payment does not provide an entire year’s lead allowance for immediate use. When available usage is exhausted, additional contact-request processing or related features may be restricted until the next eligible usage cycle, a qualifying plan change, or another authorized restoration of service. Lead allowances do not guarantee that visitors will submit the advertised number of requests. 7. Optional TextLead SMS Notifications TextLead customers may optionally designate a mobile number to receive transactional SMS notifications from LocalWerx concerning website contact requests and service-related events. SMS consent is optional and is not required to purchase, enroll in, or use TextLead. A customer who declines SMS notifications may still use available TextLead account features and review contact requests. SMS notifications require separate affirmative consent for the designated number. Depending on service configuration, notifications may include visitor contact information, activation notices, usage notices, plan-limit notices, or service-status communications. Message frequency varies with contact-request activity, service events, and the customer’s plan. Message and data rates may apply. Reply HELP for assistance or STOP to opt out. Where supported, reply START to request renewed opt-in after an opt-out. SMS notifications resume only after the applicable provider confirms the opt-in and TextLead records the required consent status. Changing the designated notification number requires new consent. A purchase, renewal, plan change, or subscription reactivation does not automatically restore withdrawn consent. Opting out of SMS notifications does not cancel a paid subscription. For assistance, contact support@localwerx.com. 8. Message Delivery and Service Availability SMS delivery depends on wireless carriers, telecommunications providers, network availability, recipient settings, and other systems outside LocalWerx’s control. LocalWerx does not guarantee that every SMS message will be delivered or delivered within a particular period. Wireless carriers are not liable for delayed or undelivered messages. TextLead and other LocalWerx services may be affected by maintenance, technical failures, usage limits, third-party outages, abuse-prevention measures, or circumstances beyond our reasonable control. We do not guarantee uninterrupted or error-free operation. 9. Cancellation of TextLead Subscriptions A TextLead customer may cancel through the available account billing controls or by contacting LocalWerx for assistance. Voluntary cancellation takes effect at the end of the current paid billing term. A customer who cancels a monthly subscription ordinarily retains the applicable paid-term entitlement until the end of that monthly term. A customer who cancels an annual subscription ordinarily retains the applicable paid-term entitlement until the end of that annual term. Cancellation stops future automatic renewal according to the applicable billing status. No prorated refund is issued for the unused portion of a paid term, except where required by applicable law or expressly agreed in writing. Available usage credits may be used while the subscription remains entitled and the applicable usage cycle and plan limits permit. Removing a TextLead widget, ceasing to use the service, or replying STOP to an SMS message does not cancel a subscription. 10. TextLead Reactivation and Account History Cancellation does not automatically delete the customer’s TextLead account, billing records, or historical account information. Customers may retain access to account and billing functions after cancellation, subject to applicable security and account-access rules. A successful paid reactivation creates a new subscription and begins a fresh monthly lead-usage cycle under the purchased plan. If reactivation occurs before the applicable lead-retention deadline, previously retained website visitor contact requests remain associated with the customer’s account, subject to applicable access rules. Reactivation does not restore previously withdrawn SMS consent. Lead-retention and deletion rules are described in the Privacy Policy. 11. TextLead Data Retention Website visitor lead records and associated contact details are retained during an active TextLead subscription and for 12 months following the effective end of the paid subscription term. If a customer reactivates within that period, retained leads remain associated with the account, and the prior cancellation-based deletion deadline no longer applies while the subscription remains active. A subsequent effective cancellation begins a new 12-month post-cancellation retention period. If the customer does not reactivate, lead records and associated contact details will be deleted after the applicable retention period, subject to legal obligations, disputes, security requirements, and other lawful exceptions. Account, billing, subscription, and legally required consent or audit records may be retained separately as described in the Privacy Policy. 12. Prohibited Uses You may not use LocalWerx services to: Engage in unlawful, fraudulent, abusive, or deceptive conduct Send or facilitate unsolicited communications Collect or use personal information without required authority or consent Violate privacy, telecommunications, or consumer protection laws Interfere with service security or operation Attempt unauthorized access to accounts or systems Distribute malicious software or harmful content Misrepresent your identity or business affiliation Unless LocalWerx expressly authorizes otherwise in writing, TextLead may not be used in connection with age-restricted products or services, including alcohol, tobacco, firearms, gambling, or adult content, or in connection with lending, loan brokerage, payday lending, or similar financing activities. We may suspend or terminate service for violations of these Terms, applicable law, carrier requirements, or telecommunications industry rules. 13. Third-Party Services LocalWerx services may depend on third-party providers for hosting, billing, telecommunications, email delivery, analytics, and other functions. TextLead providers include GoDaddy, Stripe, Twilio, SendGrid, and Google Workspace in the roles described in our Privacy Policy. MOS may use different providers and connected platforms. Third-party services may have their own terms and privacy policies. LocalWerx is not responsible for interruptions or failures caused by providers outside our reasonable control. 14. Customer Data and Responsibilities You retain your rights in business information, content, and customer information that you lawfully provide to LocalWerx. You grant LocalWerx the limited rights reasonably necessary to host, process, transmit, secure, and otherwise use that information to provide the subscribed services and fulfill applicable legal obligations. You are responsible for ensuring that you have the authority to collect, submit, and use information processed through your account. Businesses receiving website visitor contact requests are responsible for their own communications with those visitors and for compliance with applicable marketing and privacy requirements. Our handling of personal information is further described in the Privacy Policy. 15. Intellectual Property LocalWerx, MOS, TextLead, and associated software, branding, designs, documentation, and service features are owned by or licensed to Liveli LLC and are protected by applicable intellectual property laws. These Terms do not transfer ownership of LocalWerx intellectual property to you. You may use the services only as permitted by your subscription and these Terms. 16. Service Changes We may modify, improve, add, or discontinue features as our services evolve. Where reasonably practicable, we will provide appropriate notice of material changes that significantly affect a paid service. Changes to pricing or subscription terms will be handled in accordance with applicable law and any required notice obligations. 17. Suspension and Termination LocalWerx may suspend or terminate access for nonpayment, unlawful use, violations of these Terms, security threats, or legal and regulatory requirements. Where reasonably appropriate, we may provide notice or an opportunity to resolve an issue before suspension or termination. Termination or suspension does not eliminate payment obligations already incurred or rights and obligations that reasonably survive termination. Data retention after termination is governed by the applicable service rules and our Privacy Policy. 18. Disclaimer of Warranties To the maximum extent permitted by applicable law, LocalWerx services are provided on an “as available” and “as is” basis, without warranties not expressly stated in these Terms. We do not guarantee uninterrupted operation, error-free service, delivery of every SMS notification, a particular number of incoming contact requests, or any specific marketing, sales, revenue, or business outcome. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded. 19. Limitation of Liability To the maximum extent permitted by applicable law, Liveli LLC and LocalWerx are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, or loss of anticipated savings, arising from or related to the services. Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded. 20. Governing Law These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise. Nothing in this section limits non-waivable rights available under applicable consumer protection or other laws. 21. Changes to These Terms We may update these Terms to reflect changes in our services, business practices, or legal and regulatory requirements. The current version will be posted on this page with its applicable update date. Where required by law or by an applicable service’s enrollment process, we will provide additional notice or request affirmative acceptance. For TextLead, acceptance of specific published legal versions is recorded separately in the TextLead application. Publication of revised Terms does not automatically create an acceptance record on behalf of an existing customer. 22. Privacy Use of LocalWerx services is also subject to our Privacy Policy: https://localwerx.com/privacy/ TextLead customers may review the applicable published legal versions and their acceptance history through TextLead’s legal pages and account interface. 23.
